A person who guarantees a business debt is not automatically placed in the same position as the borrowing company. Nor does being a natural person automatically make them a consumer. The purpose of the guarantee and their links with the company's activities must be examined.
This distinction may matter when determining which controls and rules apply. It does not allow a prediction that a guarantee will be annulled or that every unfavourable term can be classified as unfair.
The loan and the guarantee each need their own analysis
The complete documentation should be read: the financed transaction, the guarantee, amendments and subsequent correspondence. A signature on a financing agreement should not be analysed separately from the context in which it was given.
The case law of the Court of Justice of the European Union, including the Tarcău case, considers whether the person acted for private purposes and whether functional links with the company exist. Holding office as a director or having a significant shareholding may be relevant to that assessment.
Being related to the business owner is not decisive by itself
Family ties may form part of the context, but do not replace an examination of the guarantor's role. It is necessary to establish whether they participated in management, their relationship with the business activity and the purpose for which they assumed the obligation.
Equally, all protection should not be ruled out merely because the main contract finances business activity. The issue requires separating each signatory's role and substantiating the rule sought to be applied.
The actual scope of the guarantee
As well as possible consumer status, the guaranteed obligations, duration, financial limits and amendments to the financing must be examined. It is particularly important to understand the obligations assumed towards the creditor and the effects of joint and several liability clauses or included waivers.
A commercial summary does not replace the contract. Where several agreements, novations or guarantees exist, it is useful to construct a chronology to identify which one is being claimed under and for what amount.
Documents to prepare for a consultation
- The complete financing contract and guarantee document.
- Novations, extensions and subsequent agreements.
- Demands from the bank and court documents received.
- Information on directorships and shareholdings at the time of contracting.
- Documents explaining the purpose of the signature.
Do not sign a new guarantee to resolve a claim without understanding how it changes your position. It may create an obligation different from the one originally disputed.
Frequently asked questions
Can a director always rely on consumer legislation?
No. Their functional link with the company is relevant and must be assessed alongside the transaction. Being a natural person does not automatically produce a favourable answer.
Can I wait until the claim against the company has ended?
This should not be assumed. The possibility of claiming against a guarantor depends on the agreed obligations and applicable rules. A notification addressed to the guarantor may trigger time limits requiring immediate action.
