Cash shortages and insolvency: when a business should act

A temporary cash-flow strain should not automatically be confused with insolvency, but it is also unwise to wait until lawsuits accumulate before examining the position. The review should start with obligations falling due, the resources available and the actual ability to meet obligations regularly.

The consolidated Spanish Insolvency Act distinguishes situations with different consequences. Identifying them makes it possible to assess restructuring, negotiation or insolvency proceedings without assuming that every difficulty has the same solution.

Look at due dates and the ability to pay

A snapshot of the bank balance may conceal upcoming obligations, guarantees given or income that will not arrive when needed. It is more useful to draw up a timeline of payments and receipts and check it against documents.

Include financial debts, suppliers, wages, public-law obligations and relevant off-balance-sheet commitments. Distinguish disputed amounts from acknowledged sums and recoverable transactions from commercial forecasts that remain uncertain.

The duty to apply for insolvency proceedings is not triggered by every loss

The general rule in Article 5 of the Spanish Insolvency Act concerns current insolvency and when the debtor knows or should know of that state. The time limit and its effects should not be explained as an automatic countdown from the moment an invoice goes unpaid.

Notification that negotiations have opened, and the mechanisms provided by law, may affect the duty to apply for insolvency proceedings. Their use requires compliance with specific requirements: an informal conversation with the bank is not equivalent to a court notification and does not, by itself, have the same effects.

Documents for an initial assessment

Prepare clear information about:

  • Cash flow and due dates, identifying dates and creditors.
  • Outstanding receivables and realistic recovery prospects.
  • Loans, guarantees and affected assets.
  • Contracts essential to continuing the activity.
  • Claims, enforcement proceedings and communications received.

There is no need to wait for a full audit before seeking guidance. Missing documents may indicate precisely what needs urgent clarification.

Make decisions that can be traced

Decisions by the governing body should be documented and supported by sufficient information. It is advisable to analyse extraordinary transactions, selective payments and new guarantees before carrying them out, without drawing universal rules from apparently similar situations.

The company's assets must also be distinguished from those of its shareholders and directors. A personal guarantee can create a separate problem even where the principal debt belongs to the business.

Frequently asked questions

Can a profitable business face significant difficulties?

Yes. Accounting profit does not replace an analysis of due dates and the ability to pay. Profit, assets and liquidity describe different aspects.

Does negotiating with one creditor allow other deadlines to be ignored?

That should not be assumed. Formal steps, their effects and proceedings already under way require a coordinated review.

Our commercial law service can help organise the information and assess the legal routes available. If you have already received a claim or formal demand, mention it when requesting an appointment. This article does not declare any business insolvent or recommend asset transactions without examining its position.
